Terms and Conditions

1. Provider and Scope

These Terms apply to Social Flume (“we,” “us,” or “our”) and the website socialflume.com. You can contact us at [email protected] or through our contact form.

These Terms describe the rules for our website and the general conditions on which we provide social media strategy and management, content and video creation, community management, paid social, and creator collaboration services. Service contracts are offered to businesses, entrepreneurs, and professionals acting for their trade, business, or profession in a business capacity. A person’s actual legal status determines whether mandatory consumer protections apply; those protections cannot be removed by a declaration alone.

2. Contract Formation and Order of Precedence

Website descriptions and general prices invite inquiries and do not, by themselves, create a service contract. A contract is formed through an accepted proposal, statement of work, order confirmation, or other agreement between authorized representatives. We provide these Terms or an accessible copy before concluding an engagement and incorporate them by agreement. Browsing the website, requesting a free consultation, or receiving an unsolicited proposal does not create a paid engagement.

Individually negotiated agreements take priority over these Terms, including where the law gives priority to an individual agreement made in another form. A data processing agreement governs its specific data protection subject matter. The agreed statement of work determines the service scope, deliverables, price, and project-specific arrangements. Conflicting standard purchasing conditions require resolution by agreement; merely referring to them on an order does not establish our acceptance.

Email is sufficient for routine approvals and notices unless a mandatory legal form applies. Each party identifies the people authorized to approve expenditure and contract changes.

3. Scope and Changes

The engagement defines services, deliverables, assumptions, deadlines, fees, and dependencies. Additional scope requires agreement. Necessary performance does not become an extra merely because a minor implementation detail was omitted.

We explain the fee and timing effects of requested changes before starting additional work. Chargeable changes require approval unless otherwise individually agreed. Correcting a defect attributable to us is not a chargeable change merely because delivery has occurred.

We notify you of material changes to estimates or deadlines. Binding commitments remain enforceable unless a contractual or statutory adjustment applies; a website update does not amend your scope.

4. Cooperation and Account Access

You provide the information, materials, permissions, feedback, and decisions reasonably required for the agreed work. This includes platform role permissions, brand assets, substantiated product claims, approved content calendars, and a contact for sensitive community issues. You remain responsible for the accuracy of facts about your business and for authorizing access to accounts you control.

We identify material missing information and its likely effect. Client-caused delays may justify proportionate extensions and reasonable remobilization time. Additional charges require an agreed basis or statutory entitlement, without undisclosed rates or automatic idle-time penalties.

Use limited platform permissions where available. Each party protects its credentials and reports suspected compromise. We use your access only for the engagement and authorized support, and cooperate with access removal and agreed account handover.

5. Service-Specific Conditions

Accounts Publishing and Moderation

The engagement sets platforms, formats, posting volumes, review rounds, management hours, and response expectations. You retain control of your accounts and authorize publishing through platform roles. A calendar approval covers the approved content, not unrestricted authority to make new product claims or commitments. Sensitive messages are escalated according to the agreed workflow; continuous crisis coverage is included only if expressly agreed.

Rights in Creative and Music

Music, images, footage, fonts, and platform assets must be licensed for the intended use. Permission for organic posting does not necessarily cover paid advertising, other channels, or later campaigns. We obtain the rights required for materials we supply within the agreed scope and identify material restrictions. You provide necessary rights for supplied assets and identifiable contributors. Raw footage, project files, and unused concepts are included only if the engagement provides for them.

Advertising and Creators

Paid media budgets and creator fees are separate unless expressly included. Expenditure and any handling charge require approval. We agree whether a creator contracts directly with you or supplies our contracted deliverables; this determines the relevant responsibilities. We remain responsible for duties we undertake concerning selection, briefing, management, and delivery. Required sponsorship and advertising disclosures form part of the agreed publishing process.

Platform Risks and Results

Platforms control distribution, moderation, account features, and enforcement. We cannot guarantee reach, follower growth, virality, account reinstatement, sales, or advertising returns. This does not excuse a suspension or loss caused by our own breach. We do not buy fake engagement or fabricate testimonials. Reports describe their measurement context and distinguish platform interactions from verified business results where relevant.

Scheduling and Handover

We agree how unused monthly capacity and client-caused delays are handled; deliverables are not automatically forfeited when we fail to supply them. At the end of management we identify scheduled posts, active ads, and unresolved escalations, and agree the handover. Paid content and client account control remain available subject to the applicable rights.

6. Professional Care and Performance Expectations

We perform our obligations with the professional care reasonably expected for the agreed services. Reach, views, engagement, followers, leads, sales, and return on advertising spend depend on platform and audience factors and are not generally guaranteed. Forecasts, examples, benchmarks, and estimates explain possible outcomes based on assumptions; they do not create an additional guarantee unless expressly agreed as such.

This distinction does not excuse failure to deliver agreed work, meet a binding specification, apply professional care, or honor a valid guarantee. Whether a particular obligation is a service obligation or an obligation to produce a work result depends on its substance and applicable law. Using a retainer, hourly rate, or agile workflow does not by itself determine that classification.

External changes may affect results. We remain responsible for our agreed selection, configuration, monitoring, advice, and response duties. Damages are assessed under section 17.

7. Review and Approval

We use the review process agreed for the engagement. You check business-specific facts, product claims, prices, brand requirements, and other matters within your knowledge before approving publication or release. Regulated claims or business models may require review by your own qualified advisers. Our services do not include legal, tax, or regulatory advice unless separately and lawfully agreed.

Approval authorizes the relevant publication, launch, or next step. It does not automatically waive claims for defects or release us from our own contractual duties. Silence during a routine feedback period does not, by itself, approve additional charges or amount to a blanket acceptance of all work.

Routine publishing or system actions without individual approval require agreed limits and escalation contacts. We follow that authority. Later preference changes may be chargeable where they do not correct our defective work.

8. Delivery Acceptance and Defects

Where the contract includes a work result requiring acceptance, you receive a reasonable opportunity to inspect it against the agreed requirements. We request acceptance after completion and may set a reasonable period for that purpose. Statutory deemed acceptance applies only where its requirements are met, including the relevant request, completion, and absence of a timely refusal identifying at least one defect.

Immaterial defects alone do not justify refusing acceptance, but relevant rights remain. Reserve rights for known defects where required by law. Sprint demonstrations and limited tests are not automatically final acceptance.

Please describe suspected defects with information reasonably available to you so we can investigate. We provide any supplementary performance required by law without charging for our own defective work. Rights to reduce the price, withdraw, terminate, recover appropriate expenses, or claim damages remain available where their legal conditions are met. Statutory limitation periods apply unless a valid individual agreement provides otherwise.

External changes and third-party modifications are assessed by their actual cause. Neither third-party involvement nor the end of a support period automatically removes our responsibility or statutory defect rights.

9. Fees and Payment

Fees, currency, billing stages, and included third-party costs are set out in the accepted proposal or agreement. Unless stated otherwise, business prices exclude applicable VAT. Retainers may be billed in advance, fixed-price work by agreed milestones, and time-based work against recorded time. Advance payments or deposits apply only on the agreed basis.

Invoices are payable within 14 days after receipt unless otherwise agreed, subject to any acceptance or payment condition. Raise questions promptly; a short review period does not extinguish valid objections. Undisputed amounts remain due.

Where the legal requirements for late payment are met, we may claim default interest and reasonable recovery costs to the extent permitted by applicable law. The relevant statutory rates, limits, notice requirements, and crediting rules apply. No duplicate recovery is permitted.

You retain statutory rights of retention and may set off claims that are undisputed, finally determined, or sufficiently connected with the same contractual relationship. A genuine defect dispute is handled under the contract and applicable law rather than an automatic rule requiring full payment before any investigation.

10. Third-Party Costs and Suppliers

Platform subscriptions, advertising budgets, licenses, hosting, usage charges, production expenses, and other external costs are separate from our fees unless expressly included. We obtain approval for expenditure outside an agreed budget. Any markup or handling fee must be disclosed and agreed. A provider’s refund policy does not override rights you have against us for our own breach.

Your direct provider contracts remain subject to their terms. Suppliers we use to perform our own obligations do not create a general exemption from our responsibility.

We may use qualified personnel, freelancers, and partners, subject to confidentiality, processing, and subprocessor requirements. We remain your contractual partner and retain responsibility for those performing our obligations as required by law.

11. Term Suspension and Termination

The agreed start date, initial term, and any expressly agreed renewal govern the engagement. A fixed-term contract does not automatically renew merely because these Terms are published. If an ongoing engagement has no agreed fixed term or termination arrangement, either party may terminate it on 30 days’ notice in text form, without limiting any applicable statutory right to end it earlier. Project completion does not extinguish surviving rights and obligations.

If a material payment or cooperation obligation is overdue, we may suspend affected work where legally permitted after notice and a reasonable opportunity to remedy it. Any suspension must be proportionate. We explain operational consequences, including active campaigns or automations that may continue incurring charges, and take reasonable steps within our control to avoid unnecessary harm. Immediate action may be necessary for a concrete security threat or unlawful instruction.

Either party retains its right to terminate for good cause under applicable law. Where a remedy or warning is legally required, it must be provided. Insolvency-related rights are governed by applicable insolvency law; these Terms do not create an unrestricted right to terminate solely because insolvency proceedings occur.

On termination, amounts due are determined by the contract and applicable law, taking account of work performed, authorized unavoidable costs, saved expenses, and any refund or damages entitlement. Statutory cancellation rights for work contracts remain unaffected. We do not automatically retain every prepayment regardless of the work delivered or the reason for termination.

12. Refunds Guarantees and Handover

A refund commitment included in the accepted offer, an applicable published promotion, or an individual agreement is honored according to its wording. These Terms do not narrow a more favorable applicable promise by adding undisclosed conditions. A guarantee concerning completion of deliverables is distinct from a promise of commercial success, but the absence of a commercial-results guarantee does not excuse non-delivery.

Excess advance payments are refunded without undue delay after settlement of amounts lawfully due. Statutory rights do not depend on a special claim form or accepting a credit instead of money.

We hand over paid-for deliverables, agreed documentation, and client-controlled accounts and data, identifying unfinished work. Lawful retention rights do not permit deletion of your systems, withholding unrelated property, or breaching data duties. Additional transition work requires an agreed fee.

13. Intellectual Property and Licenses

After payment of the fees due for the relevant deliverables, you receive a worldwide, perpetual, non-exclusive license to use and adapt final posts, captions, designs, videos, and reports for the agreed business purposes. This license is subject to disclosed third-party restrictions. Broader rights, raw footage, editable production files, and creator usage or advertising rights are included where expressly agreed.

Pre-existing methods, tools, libraries, templates, workflows, and general know-how remain with their existing rights holders. Where our background material is embedded in a paid deliverable, we grant the rights needed to use, maintain, and modify that deliverable for the agreed purpose, including through your service providers. This does not grant a standalone right to resell our underlying tools. Drafts and rejected concepts are excluded unless the contract includes them.

Third-party and open-source material remains subject to its own license. We identify material restrictions relevant to the intended use and obtain approval before introducing a restriction that materially conflicts with the agreed purpose. We do not promise exclusive rights in third-party materials or in elements that do not attract copyright protection. Rights we grant are limited to rights we can lawfully grant, without reducing an express contractual obligation to obtain the necessary rights.

You retain rights in materials you supply and grant us a limited permission to use them for the engagement. You confirm that you have the necessary rights and permissions. We may reuse general experience that does not disclose your confidential information, personal data, or protected project-specific material.

14. Confidentiality and References

Each party protects non-public information received from the other where it is marked confidential or should reasonably be understood as confidential. It is used only for the engagement and shared only with people who need it and are bound by appropriate duties. Exceptions cover information lawfully known already, independently developed, lawfully received from another source, or made public without breach.

The confidentiality duty continues for three years after the engagement ends. Trade secrets remain protected for as long as they qualify for protection, and personal data remains subject to applicable law. Legally required disclosure is limited to what is necessary, with advance notice where lawful. A separately agreed confidentiality arrangement takes priority within its scope.

Identifiable references, logos, testimonials, results, and screenshots require your permission. Anonymized examples must not reveal confidential information or reasonably identify you or individuals. Private messages, unpublished campaigns, audience data, and internal moderation records are confidential.

15. Data Protection and Responsible Tool Use

Our Privacy Policy explains processing for our own website and client administration. Each party remains responsible for obligations attached to its actual role. Where we process personal data on your behalf, an appropriate data processing agreement is concluded before that processing begins. It addresses instructions, confidentiality, security, subprocessors, transfers, assistance, and return or deletion.

You provide the lawful authority for client-controlled data and required instructions. We comply with our own obligations, notify you where an instruction appears to infringe applicable data protection law, and do not use those data for an unrelated purpose. Neither these Terms nor a client instruction authorizes unlawful processing.

Automation and AI assistance remain subject to professional review, confidentiality, lawful processing, and necessary provider approvals.

16. Third-Party Claims

If a third party brings a justified claim against us because of your culpable breach concerning materials, data, or instructions you supplied, you are responsible for the resulting loss to the extent caused by that breach and recoverable under applicable law. This includes reasonable necessary defense costs. It does not make you responsible for our own fault or that of people for whom we are legally responsible.

We notify you promptly, provide relevant information, and allow reasonable participation in the defense. Neither party may bind the other to an admission, settlement, or non-monetary obligation without consent, which must not be unreasonably withheld for a reasonable settlement. Both parties take reasonable steps to reduce loss. These Terms do not automatically transfer administrative fines, criminal penalties, or non-transferable regulatory duties.

17. Liability

We are liable without contractual limitation for intent and gross negligence, culpable injury to life, body, or health, fraudulent concealment, mandatory product liability, and other liability that cannot lawfully be excluded. Liability under a guarantee follows the guarantee’s terms.

For simple negligence outside those cases, we are liable for breach of an essential contractual obligation, meaning an obligation necessary to proper performance and on which the client may ordinarily rely. Liability in that case is limited to damage foreseeable at contract formation and typical for the contract. Other liability for simple negligence is excluded to the extent legally permissible.

There is no blanket exclusion of lost profit, wasted expenditure, lost data, advertising spend, or other loss where excluding it would contradict the preceding provisions. Foreseeability, causation, responsibility, and mitigation are assessed under applicable law. A client’s failure to maintain an agreed backup or follow a necessary instruction is relevant only to the extent it contributed to the loss; it does not excuse our own agreed backup or security duties.

These provisions also apply, where legally permissible, to claims against our personnel and persons engaged to perform our obligations. They do not restrict data subjects’ independent statutory rights or other mandatory rights. Statutory limitation periods apply. Other provisions in these Terms concerning external platforms, approvals, or handover are subject to this liability section.

18. Events Beyond Reasonable Control

An event beyond a party’s reasonable control may excuse affected performance only to the extent the event actually prevents it and the consequences could not reasonably have been avoided. The affected party informs the other promptly, explains the expected effect, and takes reasonable steps to limit disruption. Ordinary staffing shortages, avoidable security failures, and routine supplier problems are not automatically force majeure.

Affected deadlines may be extended proportionately. Payment for services already properly performed remains due; payment for work that cannot be supplied and any repayment are determined by the contract and applicable law. If disruption continues for more than 60 days, either party may terminate the affected portion in text form, without limiting an earlier statutory right.

19. Website Content and Permitted Use

Articles, guides, case studies, demonstrations, and indicative prices provide general information. They are not a substitute for advice tailored to your circumstances and do not create additional service commitments by themselves. We may update website content, but this does not alter an existing contract or remove responsibility for misleading statements or other legally actionable conduct.

Website materials are protected where intellectual property rights apply. You may use them as permitted by law; statutory quotation and other exceptions remain unaffected. Unauthorized copying for commercial exploitation, interference with the website, malware distribution, and attempts to access protected systems are prohibited. Automated access must respect applicable law, technical restrictions, and others’ rights.

External links and named technologies do not themselves establish endorsements or partnerships. Our responsibility for our own conduct remains subject to section 17 and mandatory law.

20. Changes Governing Law and Contact

An updated version of these Terms may be proposed for future engagements. Existing contracts change only by agreement or another valid legal basis; silence following an email announcing new terms is not blanket consent. Individually negotiated arrangements retain their statutory priority.

Any governing-law or jurisdiction provision in an individually agreed service contract applies to the extent legally valid. Otherwise, governing law and jurisdiction are determined by the applicable conflict-of-laws and procedural rules. Nothing in these Terms removes overriding mandatory provisions or protections that cannot lawfully be excluded.

If a provision is invalid or was not incorporated, the remaining agreement continues to the extent permitted by law. Applicable statutory rules govern the resulting gap; an invalid standard term is not automatically replaced with the most agency-favorable alternative. The contractual language is English unless an individual agreement specifies otherwise. Mandatory formalities and individually agreed terms remain unaffected.

For notices, questions, or complaints, email [email protected] or use our contact form. Please identify the relevant engagement so we can address the matter promptly. Contacting us does not prevent either party from seeking a legal remedy within an applicable time limit.
